Agreement to Terms. These Terms of Service ("Terms") constitute a legally binding agreement between you and Pragati Labs, LLC ("MCPLexor," "we," "us," or "our") governing your access to and use of mcplexor.com and all related services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Our Services

MCPLexor provides tools for managing Model Context Protocol (MCP) servers and context optimization for AI agents. Our services include semantic search across MCP servers, context window optimization, and related developer tools.

Our services are intended for users who are at least 18 years old. By using our services, you represent that you meet this age requirement.

2. Intellectual Property Rights

Our Intellectual Property. We are the owner or licensee of all intellectual property rights in our services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos (the "Marks").

The Content and Marks are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business purposes, subject to these Terms.

Your Use of Our Services. You may not:

  • Copy, reproduce, or distribute any Content without our express written permission
  • Modify, create derivative works from, or reverse engineer our services
  • Use the Marks without our prior written consent
  • Remove any copyright or proprietary notices from our Content

3. User Representations

By using our services, you represent and warrant that:

  • All registration information you submit is true, accurate, current, and complete
  • You will maintain the accuracy of such information and update it as necessary
  • You have the legal capacity to agree to these Terms
  • You are not a minor in the jurisdiction in which you reside
  • You will not use the services for any illegal or unauthorized purpose
  • Your use of the services will comply with all applicable laws and regulations

4. User Registration

You may be required to register to use certain features of our services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Purchases and Payment

We accept the following forms of payment:

  • Credit cards (Visa, Mastercard, American Express)
  • Debit cards
  • Other payment methods as displayed at checkout

All payments are processed securely through Stripe. You agree to provide current, complete, and accurate purchase and account information for all purchases. You further agree to promptly update account and payment information as necessary.

All prices are displayed in US Dollars (USD). We reserve the right to modify prices at any time, with notice provided for active subscriptions.

6. Subscriptions and Credits

Credits. Our services operate on a credit-based system. Credits are consumed when you use certain features such as semantic search queries and context optimization operations.

Credit Purchases. Credits may be purchased as one-time transactions. Unused credits do not expire unless your account is terminated.

Refunds. Credit purchases are generally non-refundable. However, if you experience technical issues that prevent you from using purchased credits, please contact us at ankur@mcplexor.com to discuss potential remedies.

7. Prohibited Activities

You may not access or use the services for any purpose other than that for which we make them available. The following activities are prohibited:

  • Systematically retrieving data or content to create a collection, compilation, database, or directory without written permission
  • Making unauthorized use of the services, including collecting usernames or email addresses by electronic means
  • Using the services to advertise or offer to sell goods and services without our permission
  • Circumventing, disabling, or interfering with security-related features of the services
  • Engaging in unauthorized framing or linking to the services
  • Attempting to impersonate another user or person
  • Interfering with or disrupting the services or servers or networks connected to the services
  • Using any automated system, including robots, spiders, or scrapers to access the services
  • Attempting to bypass any measures designed to prevent or restrict access to the services
  • Harassing, intimidating, or threatening our employees, agents, or other users
  • Uploading or transmitting viruses, malware, or other harmful code
  • Using the services in a manner inconsistent with applicable laws or regulations
  • Attempting to reverse engineer, decompile, or disassemble any portion of the services

8. User-Generated Contributions

Our services may allow you to create, submit, post, or transmit content ("Contributions"). By making Contributions, you represent and warrant that:

  • Your Contributions do not violate any applicable law or the rights of any third party
  • You have the necessary rights and licenses to make the Contributions
  • Your Contributions do not contain any viruses, malware, or harmful code

9. Contribution License

By posting Contributions to our services, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, and distribute your Contributions in any media for the purpose of operating and improving our services.

You retain ownership of your Contributions and any intellectual property rights therein, subject to the license granted above.

10. Third-Party Services

Our services integrate with third-party AI providers, including Anthropic and OpenAI, to provide semantic search and context optimization features. Your use of these features is subject to the terms and policies of these third-party providers in addition to these Terms.

We are not responsible for the content, accuracy, or practices of any third-party services. We do not warrant or endorse any third-party products or services.

11. Services Management

We reserve the right, but not the obligation, to:

  • Monitor the services for violations of these Terms
  • Take appropriate legal action against anyone who violates these Terms
  • Remove or disable access to any Contributions that violate these Terms or are otherwise objectionable
  • Manage the services to protect our rights and property and to ensure proper functioning

12. Term and Termination

These Terms remain in effect while you use the services. We may terminate or suspend your access to the services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may do so by contacting us at ankur@mcplexor.com.

Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the services at any time without notice. We are not obligated to update any information on our services.

We cannot guarantee the services will be available at all times. We may experience hardware, software, or other problems requiring maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the services at any time without notice to you.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in California for the resolution of any disputes.

15. Dispute Resolution

Informal Negotiations. Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at ankur@mcplexor.com. We will attempt to resolve the dispute within 30 days.

Binding Arbitration. If we cannot resolve a dispute through informal negotiations, you agree that any dispute arising out of these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in California, unless otherwise agreed by the parties.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis, and not in a class, consolidated, or representative action.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will meet your requirements, that the services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

17. Limitations of Liability

IN NO EVENT SHALL PRAGATI LABS, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

Our total liability to you for all claims arising out of or relating to these Terms or your use of the services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

18. Indemnification

You agree to defend, indemnify, and hold harmless Pragati Labs, LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your Contributions caused damage to a third party.

19. User Data

We will maintain certain data that you transmit to the services for the purpose of managing the services and data relating to your use. You are solely responsible for all data that you transmit and for maintaining backups of your data.

We shall have no liability for any loss or corruption of data, and you hereby waive any right of action against us arising from any such loss or corruption.

20. Electronic Communications

By using our services, you consent to receiving electronic communications from us, including emails related to your account, service updates, and legal notices. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

21. California Users

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA). Please refer to our Privacy Policy for more information about your California privacy rights.

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The services are provided by Pragati Labs, LLC, located in California, USA. If you have a complaint regarding the services, you may contact us at ankur@mcplexor.com.

22. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the services.

Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Headings. The headings in these Terms are for convenience only and shall not affect their interpretation.
